Welcome to MuniSpot. By accessing or using the MuniSpot website, platform, services, or any associated applications (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and MuniSpot. We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

2. Description of Service

MuniSpot provides access to municipal financial data, including but not limited to financial statements, budget information, debt obligations, and related metrics derived from publicly available sources such as Annual Comprehensive Financial Reports (ACFRs) and other government filings (collectively, the "Data").

The Service is intended for informational and research purposes only. MuniSpot aggregates, standardizes, and presents municipal financial information to facilitate analysis and comparison.

3. No Investment Advice

Important Notice

THE DATA AND INFORMATION PROVIDED THROUGH THE SERVICE DO NOT CONSTITUTE INVESTMENT ADVICE, FINANCIAL ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

MuniSpot is not a registered investment adviser, broker-dealer, financial planner, or tax advisor. The Service is not intended to provide and should not be relied upon for investment decisions regarding municipal bonds, municipal securities, or any other financial instruments.

You should consult with qualified professionals, including registered investment advisers, attorneys, accountants, and other specialists, before making any investment or financial decisions. Any reliance you place on information obtained through the Service is strictly at your own risk.

MuniSpot expressly disclaims any responsibility for investment decisions, financial losses, or other damages resulting from your use of or reliance on the Data or any other content provided through the Service.

4. Data Accuracy Disclaimer

Data Accuracy Notice

While MuniSpot endeavors to provide accurate and up-to-date information, we make no warranties or representations regarding the accuracy, completeness, reliability, timeliness, or suitability of the Data.

The Data is derived from publicly available sources including government filings and reports. These source documents may contain errors, omissions, or outdated information. Additionally, the process of extracting, standardizing, and presenting this data may introduce errors or inaccuracies.

You acknowledge and agree that:

  • The Data may contain errors, inaccuracies, or omissions
  • The Data may not reflect the most current information available
  • Standardization processes may affect how data is presented or classified
  • You should verify all Data against original source documents before relying on it
  • MuniSpot is not responsible for errors in source documents or government filings
  • Historical data may be subject to revision or restatement

Users are strongly encouraged to consult original ACFRs and official government documents for verification before making any decisions based on the Data.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUNISPOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Investment losses or financial damages
  • Loss of data or business interruption
  • Damages arising from decisions made based on the Data
  • Damages arising from errors or inaccuracies in the Data
  • Any other damages arising from use of or inability to use the Service

IN NO EVENT SHALL MUNISPOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO MUNISPOT FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

6. Indemnification

You agree to indemnify, defend, and hold harmless MuniSpot, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any decisions you make based on the Data or information obtained through the Service
  • Any investment or financial decisions you make in connection with the Service
  • Your infringement of any intellectual property or other rights of any third party
  • Any content or data you submit to or through the Service

MuniSpot reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with MuniSpot in asserting any available defenses.

7. Disclaimer of Warranties

THE SERVICE AND ALL DATA, CONTENT, AND MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

MUNISPOT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS OF THE DATA
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE

8. Permitted Use

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. You agree not to:

  • Redistribute, resell, or sublicense the Data without express written permission
  • Use automated tools to scrape or extract Data beyond normal use
  • Attempt to circumvent any access controls or security measures
  • Use the Service for any unlawful purpose
  • Misrepresent the source or accuracy of any Data obtained from the Service
  • Create derivative databases for commercial distribution without authorization

9. Intellectual Property

The Service, including its organization, design, compilation, and presentation of Data, is protected by copyright, trademark, and other intellectual property laws. MuniSpot retains all rights in the Service not expressly granted in these Terms.

While the underlying government financial data is in the public domain, MuniSpot's standardization, organization, presentation, and analytical tools constitute proprietary works protected by applicable law.

10. Account Responsibilities

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify MuniSpot immediately of any unauthorized use of your account.

11. Termination

MuniSpot may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any claim or cause of action arising from your use of the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MuniSpot regarding your use of the Service and supersede all prior agreements and understandings.
